signing of board report

28 November 2010 Sir,
who should sign board of directors report,
can any of the director can sign or at
least two directors should sign.

If there is a MD what will be the position.

Pls clarify soon.

28 November 2010 Board of Director's report shall be signed by its chairman if / she is authorised in that behalf by the board,if not the report shall be signed by such number of director's as are required to sign the balance sheet and the profit and loss account of the company by virtue of section 215(1) and (2) of the Companies Act,1956.

29 November 2010 Agreed with Warrier Sir...the Director's Report is to be signed by the Chairman of the Board if he is authorised in this behalf and if not so authorised then shall be signed by at least 2 Directors inclduing a Managing Director, if any....
