09 March 2009 1) Special resolution should be passed in the General meeting.
2)e-Form-23 along with explanatory statement u/s 173(2) and altered MOA should be filed within 30 days from the date of passing the special resolution.
3) Advertisement should be published in one vernacular newspaper circulating in the district in which the registered office of the company is situated and also in an english newspaper.
4)Petition should be filed for confirmation of change to the Central Government.
5)e-Form-21 along with certified copy of the order should be filed with ROC of both the states within 3 months from the date of the order.
6)Certificate of Registration of transfer is to be obtained from ROC of both the states.
