The company filed Form 32 in September 2008 for appointment of 2 Additional Directors in the Board Meeting held on 12.05.08, which is the date of incorporation.

1. Can a company have Board Meeting on the date of incorporation excluding the Item pertaining to the Certificate of Incorporation (as the Incorporation Certificate shall be generally sent by RoC by Speed / Regd Post, which reaches the company after 2 /3 days from the date of incorporation) ?

1. No. Certificate of incorporation should be produced in 1st board meeting and should be noted in 1st board meeting minutes. 2. No. 1st board meeting should be held after receiving certificate of incorporation and not on intimation of incorporation date.
