26 November 2011 Sir,
Registered Office of a company is in

Chennai. However the documents are

executed in New Delhi. Can the common seal

of the company be carried to New Delhi for

execution of documents. Is any authorisation required by way of Board

Resolution. Please advise.

26 November 2011 Section 50(1) of the Companies Act, 1956 provides that a company whose objects require or comprise the transactions outside India may, if authorised by its Articles , have for use in any territory, district or place not situate in India an official seal which shall be a facimile of the Common Seal of the Company, with the addition on its face of the name and territiry, district or place , it to be used.

Section50(2) A company having an official seal for use in any such territory , district or place may, by writing under its common seal , authorise any person appointed for the purpose in that territory, district or place to affix the official seal to any deed or other documents to which the company is a party in that territory.


Your company by a resolution of Board of Directors authorises any person in whose supervision the common seal will be used any where.

26 November 2011 Pl go through the 'article' regarding common seal in the AOA of the company. If there is no restriction to take out side Chennai, carry it to Delhi on the strength of a board resolution.

As far as Section 50 opf the companies Act, 1956 is concerned it talks about taking the common seal outside India.
