20 June 2014 AS-3 is not applicable to a Pvt ltd company if -

* its shares are not listed/ proposed to be listed in India/abroad.

*it is not a bank, FI or insurance company.

* its turn over does not exceed Rs.50 crores in the previous year.

* it is not a holding/subsidiary company of a company not satisfying the above conditions.
