Annual filling of returns

18 August 2012 A Private Limited Company is incorporated on 19.01.2010 and the Income Tax Return of the company is also filed for both the Years i.e. year ended on 31.03.2010 and 31.03.2011.
My Query is related to Annual fillings with ROC and Statutory Audit Report. Can I file annual return of the company for the period from 19.01.2010 to 31.03.2011 ( 1 Year 72 Days) or I have to file annual return for two financial years separately (i.e. 31.03.10 & 31.03.11). And if I select the first option (i.e. 1 year 72 Days), shall I prepare the Statutory audit report for that whole period.

With the angle of Companies Act, you can file annual retur with in statutory time limits provided in section 159 read with section 166 of the Co. Act, both the statute i.e. Co. Act & IT Operates separatly if company has prepared Financial results and Board has approved and forwwarde the same for the addoption in AGM in the year of incorporation i.e. for f.Y. ended on 31.03.2010 then you have to file both the doc with ROC for compliance of above mentioned provision otherwise you can file it with in 18 months of incorporation of company.
In your case company has filed IT return for both the year hence company should have to file Annual Return u/s 159 and Financial Result u/s 210 with ROC for both year to avoid future inconsistacy in compliaance of both the law.
