04 March 2011 1. Can anyone tell me wat's share warrant?????


2. what is the difference between agreement and contract??????

04 March 2011 Share Warrant:

Share warrant is a certificate issued by the company specifying that the holder of the warrant is entitled to the number of shares specified therein. The holder can transfer the shares specified therein by mere delivery.


Difference between Agreement and Contract:


Agreement is a promise between two parties to do or abstain from doing something. A contract is an agreement enforceable at law.

That is the agreement to become a contract must be -

1) between parties competent to contract viz., the parties to the contract should have attained the age of majority and should be of sound mind

2) the consent of the parties should be free i.e. the consent should not have been obtained by coercion or misrepresentation or undue influence, etc.

3) for a lawful consideration

4) for a lawful Purpose and should not be opposed to public policy.

One can say that all contracts are agreements but all agreements are not contracts.
