We have limited company incorporated last year while preparing ROC return we came to know that few directors and members has transferred their shares to other directors and members i wanted to know the procedure to be adopted for transferring of shares first time and further like ROC compliance's.

If you are registering transfer of shares you must have following document :

1. Original Share Certificate
2. Share Transfer Form properly executed and stamped.

Adopt the same in Board Meeting and made entry of transfer in Register of Member, Register of Director Shareholding and Transfer Register accordingly after that return the share certificate to the transferee.

03 March 2012 1. First of all it should be in the Form 7B and get it duly stamped.
2.This form along with the relevant share cetificate is required to be submitted to the company by transferor/ or transfree.
3. then company will present the Form 7B to the ROC within 2 months from the date of presentation.
4. Then company needs to issue new share certificates to the trnsferee.

Apart from it make proper entries in the Statutory Registers, and in the Annual Return as well.
