A company wants to give property on rent ( Leasing) to B company and this is related party transaction, whether special resolution is required to be passed in both companies or only to A Company

Special resolution will have to be passed by both the companies but only if the companies have paid-up capital of more than the specified amount or the value of transaction exceeds the specified percentage.
