can any one provide me any section or case law(s) for establishing the fact that "passing of a resolution does not create any legal obligation on the company"

Your concept is totally wrong.
Because when you circulates the notice for meeting for passing the resolution, You Initiates activity.
And
Passing the resolution, in meeting means that company has accorded to that activity and now only procedural step is left to do.
Look at the Constitutional Concept: Means Rea.
Which says the Guilty mind.
When the resolution is passed against the law, the company becomes guilty of that act.
