* Yes, since not prohibited by section 176.
* No ,since members personal presence is required by section 174.

Yes, the same person may be appoint as proxy for more than one member.
Unless the articles of the Company provide for a larger number, Five members PERSONALLY PRESENT in the case of public company and two members PERSONALLY PRESENT in case of any other company shall be the quorum for a meeting of the Company.
Proxy shall be counted for vote purpose only and not for the quorum purpose.
