10 February 2011 A company incorporated and incorp certificate just now generated. On scrutinizing the same certain corrections required to be made:

Name: father Private Limited. - correction is first letter F must be caps but orig typed wrong in lower case. can the style be changed now?

Address has a typographical error.

we yet to receive the new incorp certificate.

can we submit the corrections now?

what are the procedure?

what are the attachments?

will they give new incorp certificate correcting the same?

10 February 2011 For change of name you have to apply afresh in Form 1A. Style cannot be changed now.

Address of the Registered Office would be as filled by you in Form 18.

03 August 2024 When errors are found in the incorporation certificate or master data of a newly incorporated company, the process to correct these errors involves several steps. Here’s a detailed guide on how to proceed:

### **1. **Corrections in Master Data**

#### **a. **Types of Corrections:**
- **Name Correction:** Changing the case of letters (e.g., from lowercase to uppercase) is generally acceptable if it is a typographical error.
- **Address Correction:** Any typographical errors in the address should be corrected.

### **2. **Procedure for Corrections:**

#### **a. **Initial Steps:**
1. **Verify Errors:** Confirm the specific errors that need correction (e.g., name in wrong case, typographical errors in the address).
2. **Check the Certificate:** Before proceeding, ensure that the incorporation certificate is not yet finalized or that the company has not yet received it.

#### **b. **Filing Corrections with ROC:**
1. **Prepare a Letter of Request:** Draft a formal letter requesting corrections in the master data. The letter should be addressed to the Registrar of Companies (ROC) and should include:
- **Company Name and CIN:** Mention the correct company name and Corporate Identification Number (CIN).
- **Details of Errors:** Clearly specify the errors in the incorporation certificate.
- **Request for Correction:** Request the ROC to amend the errors in the master data and issuance of a corrected incorporation certificate.
- **Supporting Documents:** Attach copies of documents to support your request (e.g., proof of correct address).

2. **Online Filing:**
- **Login to MCA Portal:** Log in to the Ministry of Corporate Affairs (MCA) portal using your credentials.
- **File Form DIR-12 (if applicable):** If the corrections involve changes in directors, file Form DIR-12.
- **File Form INC-22 (if applicable):** If the corrections involve address changes, file Form INC-22 (for change of registered office).
- **Form MGT-14 (if applicable):** File Form MGT-14 if the changes are related to the company's documents that need to be filed with the ROC.

3. **Attach Supporting Documents:**
- **Corrected Incorporation Certificate:** Attach a copy of the incorporation certificate with corrections noted.
- **Proof of Address:** If correcting the address, attach proof of the correct address (e.g., utility bill, rental agreement).
- **Identity Proof:** Include identity proof of the authorized person requesting the correction.

4. **Submit the Application:**
- **Online Submission:** Submit the forms and letter electronically through the MCA portal.
- **Physical Submission:** In some cases, you may need to submit physical copies of the documents at the ROC office.

### **3. **Post Submission:**

1. **Acknowledge Receipt:** Once submitted, you should receive an acknowledgment from the ROC.
2. **ROC Review:** The ROC will review the request and, if satisfied, will process the corrections.
3. **Issuance of New Certificate:** The ROC will issue a new incorporation certificate reflecting the corrected details.

### **4. **Final Notes:**

- **Timely Corrections:** Ensure that corrections are made as soon as possible to avoid any legal or procedural issues.
- **Maintain Records:** Keep records of all communications, submissions, and receipts related to the correction process.
- **Consult Professionals:** For complex corrections or if you face difficulties, consider consulting a company secretary or legal professional specializing in corporate compliance.

By following these steps, you can correct errors in the master data and ensure that the company's incorporation certificate accurately reflects the correct details.
