Can anyone guide me on this issue, one pvt ltd co incorporated on 28th Feb 2012, now the company need to appoint its first auditor within one month of the incorporation. my query is whether in the first board meeting which is held on 29th march 2012, the auditors will be appointed for the F.Y. 2011-2012 or the company can appoint auditors from the date of incorporation till march 2013. The company is not going to held its AGM for 2012. Plz reply on urgent basis.
I will suggest you to hold its first board meeting before 29.03.2012.
In first board meeting you decide the first financial year and subsequent financial year. Subsequent financial year will start from 1st April and end with March 31.
In case of first financial year it will be from the date of incorporation till the 31.03.2013.
After finalisation of financial year you will appoint first auditor for the first financial year in Board meeting from the date of incorporation till 31.03.2013.
You will file Form-23B, if you are filing today with additional fee, with ROC.

The first auditor is always appointed by the Board of Directors and the approval is done in the AGM. Form No. 23 B is to be filed on receipt of appointment letter if not filed then it can be filed with additional fee
