conflict among shareholder in pvt co

29 June 2016 Dear sir..i have a question regarding some of the issue with my friend For eg... Mr A holds @70% shares..Mrs A holds@10% share...nd Mr Rk holds 20% shares of a xyz pvt co... Now there is a conflict between Mr Rk and Mr A..... So what shall be the steps to remove Mr Rk from xyz pvt ltd..if he not ready to compromise...

29 June 2016 No one has a right to remove a shareholder from the Company. Mr. Rk is holding shares in a particular company. It is his property. He can not be removed unless he himself wants to transfer his shares.

29 June 2016 1. Kindly check your companies Articles if there is any share departure procedure or check if the major shareholder can offer a fair value for shareholding of Mr. RK
2. Members Voluntary Winding up , by transferring assets of current company by floating a new company.
3. Issue shares to dilute his stake to a minimum percentage
