Brief procedures are:- 1) Special resolution in general meeting. 2) e-Form 23 along with explanatory statement u/s 173(2) and altered MOA should be filed with in 30 days from the date of passing the special resolution. 3) Advertisement should be published in one vernacular newspaper circulating in the district in which the regd. office of the co. is situated and also in an english news paper. 4) Petition should be filed for confirmation of change to the central government. 5) e-Form 21 along with certified copy of the order should be filed with ROC of both the states within 3 months from the date of order. 5) Certificate of registration of transfer is to be obtained from ROC of both the states.
