In private limited company quorum for passing board resolution in case of 4 directors is at least 51% so...resolution to be passed by at least 3 directors or two ?

As per the provisions of section 174 of the Companies Act two director or 1/3 rd of the total strength whichever is higher shall deem to form a quorum of the meeting but suppose if there are two Directors and one is voting in favour and another is against and there is no unanimous decesion, then resolution is not deemed to be passed. In that case, Chairman shall have the casting vote
