11 November 2011 If a private company was not held annual general meeting within eighteen month from last AGM date then how company filed annual return

12 November 2011 Annual returns contains the information upto the date of AGM.
So without finalizing the date of AGM it is very difficult to finalise Annual Return.

12 November 2011 As per Section 166 of the Companies Act, 1956 an AGM must held within 18 months from the date of its incorporation.

As per Section 168, failure to call this meeting is an offence punishable with fine which may extend to Rs.50,000/- on the company. and in case the default is continuing one, then there may be penalty of Rs.2500/- per day.

So, to avoid this penalty provision you need to file an application of the condonation of delay in Form 61 and only after getting approval from the Central Government you can upload your annual filing.
