Adventure Sports for staff : Exempted in FBT or not ?

Dear Sir,
I have two questions in this context.
1. Expenses incurred on organising an adventure sports outing for office staff : for FBT calculation, exempted or not ?
2. We have to pay a bill of Rs. 23000/- to the company, who have hosted this adventure sports for our Staff. IS TDS applicable on this payment or not ?
Just for clarity, there is no such explicit contract, only email & verbal quotations are there for hosting this.
Pl answer promptly.
