winding up a registered company & related process

16 July 2011 Hi, I want to know that how to do the following:
01: appointment of liquidator
02: Process, if there are two directors & they have a dispute & one of them want to dissolve the company.
03: is there any time frame for it.
04: can we upload it on mca website for paying the fees if any.

note: this company has bought land got it registered in his name & had booked machines & both the directors along with the share holders have invested in the company.

18 July 2011 In case of Voluntary Liquidation by member than member will appoint and in case of creditors voluntary winding up than creditor will appoint and in case of winding up by court than court can appoint Liquidator.

Director can not dissolved the company but as a shareholder he can but it will not be Voluntary Winding up.

yes there is time frame for winding up to be completed.

after all necessary arrangement can upload in Mca for making payment.

01: what is time frame for winding up of the pvt. ltd. company takes to be completed.
02: From which date it is considered that due to non functioning of the company it has to be closed/windup? Is it the Incorporation date of the company or any thing else?
03: where to file the case for winding up, is it on M.C.A. portal?
