Why more than one proxy in gm??

07 January 2014 "As per section 176(1)(b) unless the Articles provide otherwise, a member of a private company is not entitled to appoint more than one proxy. However, a member of a public company can appoint more than one proxy to attend and vote at a meeting."



But why do any member of public or private company would require to appoint MORE THAN ONE PROXY?? Please help!!


07 January 2014 It is simple.

If person named first as proxy unable to attend meeting, then person named second as proxy will attend the meeting.

07 January 2014 Thanks Sir! But does it mean that in case of a pvt co. once proxy appointed and if he is unable to attend, member can't do anything??


08 January 2014 Yes my friend.

Rights of a private company are restricted in this regard.
