SEC. 383A SAYS IF THERE ARE ONLY TWO DIRCTORS ,NEITHER OF THEM SHALL BE THE SECRETARY OF THE COMPANY.
BUT FOR THIS ,THERE IS NO BAR FOR WHOLE TIME DIRECTOR AND WHOLE TIME SECRETARY TO BE THE SAME PERSON.
IN FACT MR. V, BASAVARAJU, FORMER PRESIDENT OF ICWAI-KOLKATA WAS THE WHOLETIME DIRECTOR AND SECRETARY OF A COMPANY.
MANY SECRETARIES TODAY ARE ALSO ENJOYING WHOLE TIME DIRECTORSHIPS (WHICH MAY NEED ICSI NOD ,IAM NOT AWARE). IF NOT APPROVAL ATLEAST INTIMATION. BUT NO STATUTORY BAR
