If first holder dies and then second holder also dies, whose legal heir will get shares?
My view 2nd heirs as whoever dies last , becomes owner

no. unless and until second holder was first shareholder's legal heir. legal heirs of each of the shareholder shall have equal claim unless there was an an agreement between the original owners to the contrary.
