a company was incorporated in the year 2006-07 and it held its 1st agm in august 2008 but did not file form 23ac, 23aca and 20B with roc, can the forms be sign`d by a director who is appointed in 2009 if so how

FILING OF STATUTORY FORMS
The Board was informed that MCA 21 an e-Governance initiative of the Ministry of Company Affairs (MCA) is a flagship programme built on the Government’s vision of National E-Governance. MCA has issued General rules and forms and notified new e-Forms. These Forms have been evolved to suit e-filing and has to be authenticated by the Authorized Signatories (Managing Director/ Director/Company Secretary) using digital signatures. The Board considered the matter and passed the following resolution in this regard:
“RESOLVED THAT any Director or Company Secretary be and are hereby severally authorized to sign and file various forms/returns and other documents as and when required to be filed under the provisions of the Companies Act, 1956 with the Registrar of Companies, NCT of Delhi and Haryana, and Department of Company Affairs and to do all such acts, deeds, matters and things as may be required in this regard.”
