If a private limited company has no Chairman or Executive Director, then any 2 directors can sign the Financial Statements. Whether the director who is signing the Financials should be the Chairman of the Board Meeting where the accounts got adopted ?

I don't think director only as on 31 st march can sign, any director who is director on the date of AGM (not Board Meeting) wherein the accounts are adopted can sign it..it has got nothing to do with 31 st march 2013 in my opinion..
