Signing date of minutes

27 July 2012 Sir,

There is always a confusion regarding signing date of minutes, which i have noticed wit my CS.

Eg: If meeting is held on 4th April then the signing date is taken as 6th april.

They now say the signing date should be of the next meeting held ie if Meeting is held on 4th april & the next meetiong is held on 5th august then the meeting date of the previous date should be 5th August.

What does the Co Law says in this regards?
& Also let me know if i further want to ask query to the related qtn what do i do?

27 July 2012 Minutes must only be written within 30 days from the date of conclusion of the meeting. They need not be signed within that period.

It is not obligatory to wait for the next board meeting in order to have the minutes signed of the meeting already held. The chairman of the meeting at any time may sign such minutes before the next board meeting is held.

A confirmation of minutes of a meeting at the next meeting is not contemplated under the law. It is however common practice to confirm and or note the minutes at the next meeting and sign the same by the chairman. The Act does not require either confirmation or noting, but noting is a good secretarial practice.

Minutes of the Board Meeting must be written with in 30 days from the date of meeting. It can not be insisted that the minutes have to be signed with in 30 days. (Circular No. 25/76, dated 1st September, 1976). Minutes of the Board meeting may be signed by the Chairman of the same meeting or by the chairman of the succeeding meeting.

As per Secretarial Standard, it is not obligatory to wait for the next meeting in order to have the minutes of the previous meeting signed. Such minutes may be signed by the chairman of the meeting at any time before the next meeting held.


27 July 2012 There is no violation whatsoever, minutes can be sign and either in the next Board Meeting or any time before the next Board by the Chairman.
