can u pls tell me who has to sign a resolution passed at the meeting of the directors or resolution passed at the meeting of the shareholders. pls give an early reply. if it is the directors then whether one or two.

23 March 2010 For issuing certified Copy any one director or Company Secretery if there is one can issue the resolution.

23 March 2010 Agree. However, if there is a particular resolution in which a director is appointed or authority is granted to him, then he should avoid certifying the resolution himself.
