18 February 2011 Hello.....Kindly anybody give me full details(Basic Idea) about the compliance of sec.297 & 314 of companies act,1956 in private limited company means how one can trace that the said sections are being complied or not? along with the relevant remedies in case of non-compliance of the same.

03 March 2011 For applicability of Section 297 some basic checks:

1. Company is public or private
2. Paid up capital of company is more than 1 Cr. or less
3. Type of Transactions
4. The second entity is related or not.
