29 September 2011 Can the board of directors of Pvt Ltd company decide and pay salary of the non executive directors for the first time? They were not paid earlier eventhough they are directors for 2 years.

Or whether it should be approved by the shareholders?

A private company by passing board resolution can pay remuneration to its non executive director.

shareholder approval no required. Also check AOA provisions.
