This query is : Resolved

24 January 2021 Dear sir,
my OPC company is incorporate in 25/10/2019. plz tell me my Actual AGM Date And after extension Date due to Covid. Because i fill my ROC Form then late fee is calculated.

11 July 2024 For your OPC (One Person Company) incorporated on 25/10/2019, the Annual General Meeting (AGM) due dates and extension due to COVID-19 are as follows:

1. **Original AGM Due Date:**
- As per the Companies Act, 2013, OPCs are required to hold their first AGM within 6 months from the end of the Financial Year. Since your company was incorporated on 25/10/2019:
- The Financial Year would end on 31/03/2020 (assuming the standard financial year end).
- Therefore, the first AGM should have been held by 30/09/2020 (i.e., 6 months from 31/03/2020).

2. **Extension Due to COVID-19:**
- Due to the COVID-19 pandemic, the Ministry of Corporate Affairs (MCA) provided relief by extending the due dates for holding AGMs for companies, including OPCs.
- The specific extension period can vary based on notifications issued by the MCA during the relevant financial years affected by the pandemic.

3. **Late Fee Calculation:**
- If you missed the original AGM due date (30/09/2020) and did not hold the AGM within the prescribed time, late fees are applicable.
- Late fees for delayed filing of ROC forms (like AOC-4 for financial statements and MGT-7 for annual returns) are calculated based on the period of delay and the type of company.

To determine the exact late fee applicable in your case, you can check the MCA website or contact a company secretary or legal advisor who can access the latest fee structure and rules. It's important to ensure compliance with AGM requirements to avoid penalties and maintain good standing with the regulatory authorities.
