I Have received a resubmission remark regarding STK -8 that capital caanot be zero. So while resubmitting the form STK -2, do we have to prepare a revised STK 8 or we can edit the previous STK 8 and submit it again? please reply

When you receive a resubmission remark regarding STK-8 stating that capital cannot be zero, you typically need to correct this issue and then resubmit the form STK-2 (Application for removal of a company's name from the register of companies). Here’s how you should proceed:
1. **Correcting STK-8:** - Since the resubmission remark pertains to STK-8, which is the declaration of solvency by directors, you should prepare a revised STK-8 form. - Ensure that in the revised STK-8 form, the capital is correctly stated and is not zero. The capital should reflect the actual financial position of the company.
2. **Resubmitting STK-8:** - You cannot simply edit the previous STK-8 form. Instead, you need to prepare a completely new STK-8 with the corrected information. - Fill out the revised STK-8 form accurately and ensure all details are updated and correct.
3. **Resubmitting STK-2:** - After preparing the revised STK-8 form, you should resubmit both STK-8 and STK-2 together. - STK-2 is the main application form for removal of the company’s name from the register of companies, and it requires a valid STK-8 declaration of solvency.
4. **Procedure:** - Fill out the revised STK-8 form with correct capital details. - Complete the STK-2 form ensuring all sections are correctly filled. - Attach the revised STK-8 form along with STK-2 and submit them to the Registrar of Companies (ROC) for further processing.
5. **Document Submission:** - Along with STK-2 and revised STK-8, ensure you include all required documents and fees as per the ROC guidelines.
By following these steps, you will address the resubmission remark effectively and ensure that your application for removal of the company’s name from the register progresses smoothly. Always double-check the accuracy of all forms and documents before resubmission to avoid delays or additional queries from the ROC.
