Can we take note of resignation of a director through passing circular resolution, as per CA Act, 2013?

And apart from DIR-11 and DIR-12, what all forms are required to be filed with ROC for said purpose.

27 October 2014 Yes.

Pursuant to section 175(2) of the Companies Act, 2013, circular resolution shall be noted at a subsequent meeting of the board.

E-forms to be filed in case Resignation of Director are form DIR.11 and DIR.12.

27 October 2014 No MGT 14 is required to be filed by the company from which he is resiging.
