Resignation for directorship

03 July 2018 Actually My friend plan to start a company under pvt limited in October 2017

He request to me director for comapany (for compusary two director required for Pvt Ltd) 0.01 persent share. i have agreed and sarted company . he is the authorised director, now he is not paying GST from last few months. If i say he not responding properly , account login details, cheque book everything with him . i have resigned last month for company directors but he not accpted my resignation and now he is bounsing some cheques in Bank. What to do now?

if he fails to pay GST and if he bounce cheque is this any effect to me in future?

03 July 2018 write a letter to Registrar of Companies and describe the problem. second file a case with consumer court regarding cheque bouncing but before that you have to issue a legal notice as a warning. also write a letter to bank with details.

03 July 2018 1.Send resignation letter by registered post to the company.

2. e- file form DIR-11 in MCA portal.

3. Give copy of (1) and (2) to bank and GST office.

03 July 2018 Thank for you both to given reply my query and if he making like this mistake(GST not Paying and Cheque Bouncing) . Is this any problem to me in future? because i have only 0.01% share so asked

Please describe Chakrapani sir about e- file form DIR-11 in MCA portal.
- what is the procedure?

One client he has bounced he may file case in court . if that person go to court . How can i explain in court?

22 August 2018 Sir I'm requesting please tell me the procedure for about e- file form DIR-11 in MCA portal.

22 August 2018 1) Where a director resigns from his office, he shall within a period of thirty days from the date of resignation, forward to the Registrar a copy of his resignation along with reasons for the resignation in Form DIR-11along with the fee as provided in the Companies (Registration Offices and Fees) Rules, 2014.

2) The Reasons should be clearly mentioned in the form for the resignation by the Director.

3) The form shall be digitally signed by the director itself who has resigned from the office.

4) The resignation shall take place from the date on which notice of Resignation is received by the Company or any other Date specified by the Director in the notice whichever is later.

5) The Effective Date of resignation {Field 4(B)} shall be the date as entered by the Company in e-Form DIR-12 for cessation of the Director.

6) Following Scanned Documents are mandatory and shall be attached along with form:

a. Notice of Resignation filed with the Company

b. Proof of Dispatch

c. Acknowledgement received from Company If any (Mandatory only if yes selected at serial no.6 in the form )
