Removal of director of private company


17 January 2012 ABC Pvt Ltd. has 3 directors 2 of them are not Indians and the third one is Indian.

Now the Indian Director wants to leave the company. In this case is company still complying all the statutory requirements.

17 January 2012 Minimum director for a private company are 2 under section 252 of companies act, 1956.

So if in your case one director resigns then there would be no problem as far as minimum director is concerned. Indian Director can leave the company without any problem.

18 January 2012 Eventhough the matter is showing as resolved, I would like to add a point or two.
As openioned, the Indian director can resign as there will be 2 directors in the Board. However, the company keep in mind the place of Board Meeting, Manner of convening the Board Meeting, Place of keeping the Statutory registers, affixing of the Common seal if Board Meetings are to be held abroad.
