urgent if company appoint a additional director,then this resolution will fill in the form 23 or not....in AGM notice,its a special resolution.
If you wanted to regularise such additional director in upcoming AGM you can do so as Special business by pasing Ordinary Resolution and File Form 32 for change in designation with ROC within 30 days from the date of passing of such resolution.
In this case also, no need to file Form 23 with ROC.

THANKS SIR I HAVE FILLED FORM 23 AC,ACA AND ADDITIONAL ATTACHMENT FORM 23AC...BUT DUE TO OVERSIZE,AND BY MISTAKE I DIDN'T ATTACH THE MDA/corporate governance..if i attach it with form 20b,then mca will accept it or not or any other way....to resolve this
MDA and Corporate Governance report is the part of Director Report and it should be filed only with Form-23AC and ACA and no with other Forms as you mentioned.
I will suggest you to file revised Form-23AC and ACA with MDA and Corporate Governance report. If you have problem due to size regarding please male or contact with MCA executives as given on MCA portal.
