Sir, if it is a public company and the paid up capital is Rs. 5 crore or more then you have to follow section 269 and alongwith the Schedule Schedule XII of the companies Act, 1956. Yes forms to be filed with ROC, specified by section 269.
This is a private limited company (Subsidiary of Foreign company registered in Korea) still the procedure will be same ? or there is different procedure for private limited company ?

Section 268 and 269 and Schedule XIII shall be applicable only on Public ltd Company and Pvt ltd Company which is subsiadiary of Public ltd Company.
In case of your company Appointment of MD shall be governed by AOA. If AOA is silent on this then pass a Board Resolution and need to file form 32 only for change in designation.
