07 January 2014 In a private limited company,for resolution to take place in board meeting to director Qurum is required but if there are only two directors and one is interested than how the resolution will come into effect.the company don't want to increased the number of director .

07 January 2014 Such agenda item for which quorum is not present, should be taken/forwarded to the approval of members in the General meeting.

With approval of members such agenda item can be passed and acted upon.

This is a secretarial practice followed.
