What procedure to follow if an independent non executive director dies and the quorum of remuneration committee and shareholder grievance committee is now in complete.

You have to intimate the Stock Exchange (SE).
Then you can pass the Circular resolutions one for appointing the Director w.e.f. date on which the earlier director dies and other resolution for reconstitution of the remuneration and SIGC committee.
After approval of resolution intimate SE
File Form 32 with ROC attaching the Detah Certificate, if avaliable and consent letter of the new director.
