29 July 2010 In a pvt ltd company if one of the director holds the post of Chairman and Managing Director, how it will affect the authority of other director over the functioning of the Company if the Company has only two members board?

30 July 2010 Director who is MD will have more authority & power in the functioning of the Company.

Also in every board decision, majority is required i.e. being 2 director on Board if both do not agree on any matter than MD will have power to decide as Chairman has a casting vote in case of equality on voting at meeting.

In short the director who is Chairman will have more power than other director
