1. procedure for removal of director in pvt ltd if not willings to give resignation letter.
2. how to settle debts of removal of director.
3.format of resolutions and notice

01 July 2013 first refer you Aoa for the same.

if no procedure in AOA, you can pass special resolution in AGM/EGM where mote at least 75% share holder approve it.
