Printing of Memorandum and Articles As per provisions of section 15, the Memorandum and Articles of Association shall be in printed form. 1 Offset and Computer laser printing acceptable:
Earlier, the Department vide its Circular No. 3/81-CL.V, dated 15-12-1981 had held that offset printing system is as good as normal printing and hence there does not appear to be any objection in accepting the same by the Registrar for the purpose of registration.
The Ministry of Company Affairs (MCA) has clarified that due to the advancement of technology, the Memorandum and Articles printed on computer laser printers may be accepted by the Registrars for registration of companies for purposes of sections 15 and 30, provided the documents are neatly and legibly printed and comply with the other requirements of the Act. 2. Xerox copies of printed documents:
The Department expressly negated the view for submission of xerox copies of printed documents to Registrar of Companies, on the grounds that the Act contains specific provision for getting the Memorandum and Articles printed. Allowing submission of xerox copies of printed documents for the purpose of registration, will liquidate the effect of the provisions. However, xerox copies of Memorandum and Articles are allowed to be submitted to members. After the Memorandum and Articles are printed, they shall be adequately stamped, signed and submitted to the Registrar.
