Undoubtedly a Listed Company has to obatin the consent of the members by way of a Special Resolution passed by Postal Ballot process for shifting the Registered Office of the Company from one state to another.
This has been specifically included in the list of business to be mandatorily transacted by a Listed Company through Postal Ballot process under the Companies (Passing of resolution by Postal Ballot) Rules,2001
The list of business has been prescribed under Rule 4 of the said rules.

Yes. Paasing of SR through Postal ballot is necessary for shifting of registered office from one state to another in case of listed public companies as per Companies (Passing of the Resolution by Postal Ballot) Rules, 2001.
