A public ltd. incoporated in may 2006 filed Form 22 in Aug '10.....the ROC has raised a query tht required resubmission with remarks that pls comment how compliance of sec. 165(5) has been made by the company....

As per my suggestion you should go for some specific professional and experienced consultancy. It is a bit serious as the same noticed by ROC.
You may also visit ROC office and have a chat with concerned ROC official.
