24 April 2010 Does the outsourcing of accounting function by a company require any mention in or ammendment to memorandum of association or the passing of a resolution in a meeting. If yes, then what is the procedure.

25 April 2010 No. No resolution is required for this purpose. But if the books of accounts are to be kept at a place other than the registered office in India. Pass Board resolution & intimate the ROC with in 7 days in e-Form 23AA. After this books of accounts can be kept at any place other than registered office

02 May 2010 no company dont required to any mention in or ammendment to memorandum of association or the passing of a resolution in a meeting.
