NOTICE OF AGM

15 September 2010 Dear Sir,

Can AGM of a public company be held with a notice given by telephone call. The serving of notice nad AGM being on the same day.

15 September 2010 No it is not advisable at all.

For your own record and compliance prepare a notice of AGM and send to all concerned shareholders as desired by section 171 and 53.

Fully complete shorter notice provisions as mentioned u/s 171.

15 September 2010 As per para 1.2.1 of Secretarial Standard-2 on General Meetings issued by ICSI, "Notice in writing of every Meeting should be given to every Member of the company."
Also it is clearly mentioned in para 1.2.7 of said Standard that "No business should be transacted at a Meeting if Notice in accordance with this Standard has not been given."

But para 1.2.5 of the said Standard says
"Consent for shorter Notice may be given before or at the Meeting."
##Shorter Notice: The General meeting may be called after giving shorter notice in Form 22A prescribed under the Companies (Central Government) General Rules & Forms 1956 - by all the shareholders of the company by way of consent.
