28 March 2011 Can anyone explain me the status of Nominee director in a company..executive or non-executive?

Can a Nominee Director sign the e-forms or letter or certificate for the company?

can a Nominee Director be appointed as Executive Director of the company?

Please revert as early as possible.


28 March 2011 Nominee Directors are Non-Executive Directors.

Ideally, they should not get involved into the day-to-day affairs of the Company and hence the answer to question 2 is NO.

Ideally, No. Unless in case of Government Companies or companies under CDR where day to day control is required.

Whatever your opinions i agree to them & ideally it has to be in the way as you said.

But which section of the company act defines this? When I m discussing this with my management i need to have to prove this to them presenting piece of law in front.

can you help me in this by providing detailed section of company act dealing with nominee director.
