29 August 2014 Ankur Jee,

Thank You a lot.

Pls can you let me know the list of fees charged by ROC for incorporating a Pvt. Company.

03 August 2024 The fees charged by the Registrar of Companies (RoC) for incorporating a Private Limited Company under the Companies Act, 2013, can vary depending on several factors, including the authorized capital of the company and the state in which you are incorporating. As of my last update, here is a general outline of the typical fees involved:

### **1. Name Reservation Fee:**
- **RUN (Reserve Unique Name)**: ₹1,000 (for reserving the name of the company).

### **2. Incorporation Fee:**

#### **For Private Companies:**

**Authorized Capital** | **Fee**
--- | ---
Up to ₹1 lakh | ₹4,000
Above ₹1 lakh but up to ₹5 lakhs | ₹4,000 + ₹400 for every additional ₹1 lakh or part thereof above ₹1 lakh
Above ₹5 lakhs but up to ₹10 lakhs | ₹4,000 + ₹400 for every ₹1 lakh or part thereof above ₹5 lakhs
Above ₹10 lakhs | ₹4,000 + ₹400 for every ₹1 lakh or part thereof above ₹10 lakhs

#### **For Company Registration Forms:**

**Form** | **Fee**
--- | ---
SPICe+ (INC-32) | Part of the registration fee
eMoA (INC-33) | No additional fee (if filed with SPICe+)
eAoA (INC-34) | No additional fee (if filed with SPICe+)

### **3. Additional Fees:**

- **Digital Signature Certificates (DSCs):** Cost for obtaining DSCs can range from ₹1,500 to ₹3,000 per DSC.
- **Director Identification Number (DIN):** ₹500 per DIN if applied separately. However, applying for DIN via SPICe+ is typically included in the incorporation fee.

### **4. Stamp Duty:**

- **Stamp Duty:** Varies by state. This is not a RoC fee but is required for the stamp duty on the MoA and AoA, which can differ from state to state. It is paid separately based on the state’s stamp duty regulations.

### **5. PAN and TAN:**

- **PAN and TAN Application:** The fee for obtaining PAN and TAN is typically nominal and can be processed through the Income Tax Department’s website.

### **Note:**

- **Fee Structure Updates:** Fees are subject to change. Always check the latest fee structure on the Ministry of Corporate Affairs (MCA) website or consult with a company secretary or legal professional for the most current information.
- **Additional Forms:** Any additional forms or services may incur extra fees.

For the most accurate and up-to-date fee structure, it's recommended to visit the [Ministry of Corporate Affairs (MCA) website](https://www.mca.gov.in/) or consult a professional for precise details.
