from where i will find the copy of board resolution .within the minutes book or any other file is to b maintain for thay i m asking about pvt companies.dose it make any diffrent if its pvt or public co.

in minutes book i find sentanse 'RESOLVED THAT'.Does it mean a board resolution.if not then from which book i can check board resolution.according to law seprate book should made for board resolu.

You have to maintain minute books separately for Board meetings, company meetings class meetings and committee meetings. Reference can be had from them. There is no prescribed format other than the requirement they should read as resolutions mentioning clearly the subject matter discussed, who moved it, who voted for it who opposed it and whether the resolution was carried or not whether it had the required majority or not etc.

When an agenda is considered in a meeting and the members present in the meeting have to consider it and vote in favour or against it. As a result the puported resolution is either passed or dropped. Whatever is the outcome is to be reduced in writing in the minutes book. As such after giving the text of agenda of a meeting the outcome of the meeting is reiterated and it commonly written as "Resolved that...". So it is a common language in use in writing the minutes of any kind of meeting.
