03 July 2014 A person is a chartered accountant and also a director in a company. So, Can the same person sign the mgt 14 form as the chartered accountant who has signed the board resolution form as the director.

03 July 2014 ROC form has to be certified by a practicing professional. If he has signed board resolution and E-form as a Director, he cannot sign in the capacity of practicing chartered accountant.

ROC may raise objection sooner or later in this regard.

03 July 2014 A Chartered Accountant in practice can only be a 'director simplicitor' in companies , meaning thereby he/she can't sign minutes as chairman of the meeting. Likewise, he/she can't be a 'declarant' and 'certifying professional' simultaneously in MGT-14.
