Whether managerial remuneration total limit of 11 % as per section 198 includes remuneration given to ordinary directors as per section 309 ( maximum limit 3 %).

in my view,
11% for:
5% - Per executive
10% - more than one Executive Director.
1% - If the company has a Non executive Director.
then the 3 % for:
if a company having more than one, managerial person na then non executive director - 1%.
If the Company has Non executive Director only na the whole Amt will not exceed 3% of Net profit.,

3% is non executive Director - if a company not having executive director then the total amt not exceed 3%. not clear na, read the Section well., k
