Keeping of Registers & Returns outside the State of Register

19 April 2011 Dear Sir / Madam,

The registerd Office of our Company is situated at Kolkatta but we would like to maintain the Registers in the State Of Tamil Nadu (Chennai).

What is the procedures to be followed in this case.

20 April 2011 As per Section 163 of the Companies Act, 1956, registers, indexes and copies of certificates and documents or any or more of them may instead of being kept at the registered office of the company be kept at any other place within the city, town or village in which the registered office is situtated subject to passing of special resolution and giving advance copy of the SR to ROC.

However there is no provision for keeping the registers, etc. in another city or state.
